ELIGIBLE PARTICIPANTS MUST BE IN PHYSICAL ATTENDANCE AT THE BETX 2024 FAN FEST EVENT AT THE LOS ANGELES CONVENTION CENTER IN LOS ANGELES, CA BETWEEN JUNE 28-29, 2024 (THE “EVENT”) TO PARTICIPATE IN THIS PROMOTION AND IN LOS ANGELES, CA BETWEEN JUNE 29-30, 2024 IN ORDER TO COLLECT THE PRIZE.  PARTICIPATION IN THE PROMOTION AN INSTAGRAM ACCOUNT AND USE OF  A MOBILE DEVICE WITH INTERNET CONNECTION CAPABLE OF UPLOADING PHOTOS TO INSTAGRAM. NO TRAVEL OR OTHER EXPENSES WILL BE PROVIDED AS PART OF THE PRIZES.

1.           TIMING AND ENTRY PERIODS. BET’s “Standing on Culture Sweepstakes” (the “Promotion”) begins at 8:00 a.m. Pacific Daylight Time (“PDT”) on June 28, 2024 and ends at 7:00 p.m. PDT on June 29, 2024 (the “Promotion Period”). Sponsor’s computer will serve as the official time keeping device for the Promotion. There will be two (2) individual entry periods (each an “Entry Period”) as follows:

2.           ELIGIBILITY.  The Promotion is open to individuals who are: (a) a legal resident of one (1) of the fifty (50) United States or the District of Columbia; (b) at least eighteen (18) years old at the time of entry; and, (c) in physical attendance at the BETX 2024 Fan Fest Event at the Los Angeles Convention Center In Los Angeles, CA Between June 28-29, (each a “Participant”, collectively the “Participants”). Employees of Black Entertainment Television LLC (“BET” or “Sponsor”), all prize providers associated with the Promotion, and all of their respective affiliates, parent, and subsidiary companies, licensors, distributors, divisions and their advertising, production and promotion agencies (collectively, the “Promotion Entities”), and each of their respective officers, directors, licensors, employees, representatives and agents, and members of their immediate families (parents, step parents, children, step children, siblings, step siblings, spouses, regardless of where they reside) and members of their households (whether related or not) and those winners who have won a prize in any Sponsor-related promotion, contest and/or promotion in the twelve (12) months prior to the start of the Promotion are ineligible to participate in this Promotion. Eligibility will be determined by Sponsor in its sole discretion. By participating in the Promotion, each Participant agrees to these Official Rules and all the decisions of Sponsor which are final and binding in all respects. 

3.           HOW TO ENTER.  Entry is via Instagram only. A public Instagram account, a smartphone with internet connection and a camera is required to enter.  To participate, visit the Standing on Culture 3D photobooth activation on-site at the BETX 2024 event during the Promotion Period and have your photo taken (“Activation Photo”). Activation Photos will be accessible via a QR code posted at the activation. Using your smartphone’s camera, scan the posted QR code and download your Activation Photo and post it to your own Instagram account along with the hashtag #BETXSweepstakes (the “Promotion Hashtags”) to count as an “Entry”) . Submission of an Entry via Instagram constitutes Participant’s  acceptance of these Official Rules. Participants must complete their Entries as directed and within the timeframe specified by Sponsor. Failure on behalf of a Participant to comply with the foregoing[A1]  may result in an incomplete or disqualified Entry. Sponsor has the sole discretion to determine whether a submission qualifies as an Entry. Entries must be uploaded in accordance with Instagram’s terms of service (https://help.instagram.com/581066165581870/).  Your Instagram account privacy settings must be set to “Off”. If you do not have an Instagram account, visit http://www.Instagram.com. Registration for Instagram requires downloading the free application to your mobile device and following the on-screen instructions to create a new account. The Instagram app is available for download from iTunes or directly from the App Store on your iPhone, iPod touch, or iPad or from an app buying store platform, such as the Google Play store, on your Android device.

4.           LIMITATION ON ENTRIES/GRANT OF RIGHTS. Limit one (1) entry per person/household/email address during the Promotion Period, regardless of the method of entry. Any attempt by any Participant to obtain more than one Entry  by using same or multiple/different email accounts/social accounts or any other method of entry will void all of that Participant’s entries in the Promotion and such Participant will be disqualified. Entries that have been tampered with or altered shall be rendered void. Sponsor is not responsible for any problems or technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer on-line systems, servers or providers, computer equipment, software, failure of Participants on account of technical problems or traffic congestion on the internet or at any web site or any combination thereof, including injury or damage to Participant’s or to any other person’s computer related to or resulting from participating or downloading materials contained in this Promotion. If for any reason the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right at their sole discretion to cancel, terminate, modify or suspend the online portion of the Promotion. Should the Promotion be terminated or cancelled prior to the stated expiration date, notice will be posted via Sponsor’s official Instagram account, and any eligible entries received prior to the termination or cancellation will be included in the drawing of the Promotion. In the event that there becomes a dispute over who submitted a winning entry, entries will be declared made by the authorized account holder of the Instagram handle used at the time of entry, and Potential Winner (as defined below) may be required to provide identification sufficient to show that they are the authorized account holder of the Instagram account. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. It is solely the responsibility of the Participant to notify Sponsor in writing if the Participant changes his or her e-mail address during the Promotion Period. Entries specifying an invalid, non-working, or inactive email address will be disqualified and ineligible to win. Multiple Participants are not permitted to share the same email address. Bulk, automated and/or third-party entries are prohibited and will be disqualified. Entries generated by a script, computer programs, macro, programmed, robotic or other automated means will be disqualified. Entries that are incomplete, illegible, corrupted, false, lost, late or misdirected, deceptive or otherwise not in compliance with the Official Rules will be disqualified from the Promotion at Sponsor's sole and absolute discretion.

PLEASE NOTE THAT ANY AND ALL SUBMISSIONS AND METADATA SUBMITTED FOR THIS PROMOTION MAY BE PUBLICLY VIEWABLE. IN ADDITION, PARTICIPANTS ACKNOWLEDGE THAT THEIR ENTRIES MAY BE REPOSTED BY THE PUBLIC OR OPEN TO PUBLIC COMMENTARY, FOR WHICH PARTICIPANTS SHALL NOT BE LIABLE.

Participant agrees that by entering into this Promotion, Participant is granting Sponsor (and its subsidiaries and affiliates and affiliated broadcast stations and networks, successors and assignees and licensees) the non-exclusive, worldwide irrevocable right and license, but not the obligation, to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, dub, superimpose, rebroadcast, transmit, record, publicly perform and distribute and synchronize in timed relation to visual elements, the Entries and/or any portions or excerpts thereof, in any manner, an unlimited number of times, in any and all media, now known or hereafter devised for any purpose, throughout the world in perpetuity. Sponsor may use the Entries (or any portion thereof, including, without limitation an Participant’s, Instagram screen name) to advertise, promote and publicize, the Promotion, Sponsor’s business, products and worldwide programming services and/or Sponsor’s apps and websites in all media throughout the universe and may authorize others to do so; such advertising, promotion and publicity may include portions and excerpts, in addition to cut-in, synchronized, dubbed and superimposed versions of the Entries. The undersigned acknowledges that Sponsor may use the Entries in accordance with the permission granted herein without any payment to the undersigned or any third party.

Participants agree that Entries shall not contain, include or involve any of the following:

•            Gratuitous obscenity

•            Crude, vulgar or offensive pictures, depictions, images, language and/or symbols

•            Gang signs or symbols

•            Excessive, extreme or gratuitous violence

•            Glamorization of illegal drug or alcohol use

•            Commercial products (e.g., clothing, toys, food) and/or their trademarks, brands, logos or endorsements

•            Unauthorized trademarks and copyrighted material (e.g., music, etc.)

•            License plates, phone numbers, personal addresses – physical or email or otherwise

•            Website or web page links

•            Derogatory characterizations of any ethnic, racial, sexual or religious groups, humiliate other people (publicly or otherwise), any assault or threatening of others

•            Trespass or the violation of other people’s rights or property

•            Illegal (e.g., discriminatory, harassing) or inappropriate activity, behavior or conduct (e.g., inflicting emotional distress)

•            Conduct or activities in violation of these Official Rules

•            Any other content, display, materials and/or images that is or could be considered inappropriate, unsuitable or offensive, as determined by Sponsor in its sole discretion

•            Any minors

·              Any individuals who have not granted their express approval to appear in an Entry

Language and themes contained in Entries will be evaluated by Sponsor based on content and societal acceptability.

Sponsor is not obligated to, use, publish, display or broadcast any submitted Entries (in whole or in part).  Each Participant acknowledges that Sponsor will rely on such Participant’s agreement and compliance with these Official Rules when Participant submits or attempts to submit the Entry. Sponsor reserves the right to reject any Entries that it deems, in its sole discretion, to violate any of its standards and practices policies or the terms and conditions set forth in these Official Rules.  Sponsor may modify or edit any materials related to an Entry or request Participants to do so, so that such materials meet such guidelines. In submitting an Entry into this Promotion, each Participant agrees to, confirms and represents to Sponsor that neither Participant nor anyone else has engaged or taken part in (or induced or encouraged anyone else to do so) in any activity or conduct in connection with this Promotion  that: (a) may or is likely to harm or create a risk of harm, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to any person, other living thing or any property; (b) may/or is likely to create a risk of any other loss or damage to person, living things or property; (c) is or may constitute a crime, unlawful or non-consensual activities (e.g., conduct that could lead to criminal prosecution), tortious conduct (e.g., conduct that could lead to civil prosecution) or the violation or infringement of the rights of any other party; or (d) violates any of the terms or conditions of these Official Rules.

5.           DRAWINGS AND NOTIFICATION.  Sponsor will conduct a random drawing following the conclusion[A2]  of each of the Entry Periods to select ten (10) potential Promotion winners (each, a “Potential Winner”) per Entry Period. The Potential Winners will be notified via direct message to the Instagram account used to participate in this Promotion within approximately one (1) hour of the conclusion of the applicable  Entry Period and must respond within the timeframe directed by Sponsor. As time is of the essence in awarding the Prizes, winning entries shall be subject to disqualification if a potential Winner fails to respond to the Winner notification within the instructed timeframe and another Potential Winner will be selected from the remaining eligible entries received during the applicable Entry Period, if time permits. Sponsor reserves the right not to award the Prizes (as defined in Section 7 below) in the Promotion if Sponsor is unsuccessful in contacting or receiving a response from twenty (2) Potential Winner candidates or if they exhaust all eligible entries collected during applicable Entry Period without receiving a response from a Potential Winner. Odds of winning depend on the total number of eligible entries received during each of the Entry Periods.

6.           QUALIFICATION OF WINNER. Before a Potential Winner will be deemed an official Promotion winner (the “Official Winner” or “Winner”), they may be required to execute and return an Affidavit of Eligibility, a Liability Release/Publicity Release (except where prohibited) (collectively referenced herein as the “Affidavit/Release”) and any other legal documents that Sponsor may require, including, but not limited to, a W-9 tax form, within the one (1) hour period in which  Sponsor sends such documents to the Potential Winner or be subject to disqualification. A Potential Winner must be able to provide proof that they are eligible to be deemed an Official Winner to Sponsor’s satisfaction. If the documents are not returned within that time, or a Potential Winner or Official Winner is found to be ineligible, or does not comply with the Official Rules, then their applicable Promotion entry will be disqualified and an alternate Potential Winner may be selected in accordance with Section 5 above. A prize notification being returned as undeliverable will result in disqualification of such Promotion entry.

7.           PRIZES (20 Total):

Entry Period #1 (10 Prizes Available): Each Winner will receive two (2) tickets to attend the Cardi B concert[A3]  scheduled to take place in Los Angeles on Friday June 28, 2024 (ARV:$400_____). Each attendee must be at least twenty- one (21) years of age at time of prize fulfillment.

Entry Period #2 (10 Prizes Available): Each Winner will receive two (2) tickets to attend the 2024 BET Awards which are schedule to take place in Los Angeles, CA on Sunday, June 30, 2024 (ARV:$400___).. Each attendee must be at least twenty- one (21) years of age at time of prize fulfillment.

(individually, a “Prize” and collectively, the “Prizes”).

The total maximum ARV of all prizes to be awarded in this Promotion is $400.

The ARV of the Prize may vary depending on current market conditions at time of prize fulfillment.  Prize is subject to certain restrictions and arrangements are subject to capacity controls, availability, blackout dates and certain other restrictions, all of which are subject to change.

In connection with attendance at the Event, attendees of the Event are advised that Sponsor’s COVID-19 policies, CDC guidelines, and the recommendations of health officials must be followed. In addition, Event attendees should be aware of and comply with government guidelines regarding travel restrictions and mandatory quarantines before visiting any related destination. Event attendees should note that any public location where people are present provides an inherent risk of exposure to COVID-19, and Sponsor cannot guarantee that any person will not be exposed to COVID-19 during participation in this Promotion.

8.           PRIZE RESTRICTIONS. An IRS Form 1099 may be issued in the name of Winner for the actual value of the Prize received. Any and all applicable federal, state, and local taxes (including but not limited to income taxes) and all fees and expenses related to delivery, acceptance, and use of a Prize not specifically identified in these Official Rules, are solely the responsibility of the Winner. Any difference between the ARV and the actual value, if any, of any component of Prize will not be awarded. In the event that a Potential Winner chooses not to accept their Prize, or is unable to be notified, an alternate Potential Winner will be selected from all of the remaining eligible entries submitted during the Promotion Period in accordance with Section 5 above.

The Prizes are anticipated to be fulfilled on the scheduled dates of the prize events as set forth in Section 7. The Released Parties (as defined in Section 10 below) are not responsible for any cancellations, delays, diversions or substitutions, or any act or omission whatsoever with respect to the Prize. Any and all applicable federal, state, and local taxes (including but not limited to income taxes) and all fees and expenses related to delivery, acceptance, and use of the Prize not specifically identified in these Official Rules. The Prizes consist of admittance to either the Cardi B concert or to the 2024 BET Awards and do not include any other expenses not specifically listed herein.  Prizes must be claimed in person within the designated timeframe and at the designated location specified in the notice received from Sponsor.  Prize must be redeemed for the date specified. 

Released Parties (defined below) are not responsible for any mechanical difficulties or failure connected with the Prize, or any act or omission whatsoever. Winner may not transfer, give, barter, sell, substitute, or exchange the Prize or a Prize component for a cash equivalent except at Sponsor’s sole discretion.  Sponsor reserves the right in its sole and absolute discretion, to substitute the Prize or a Prize component with one of equal or greater value if the Prize or a Prize component cannot be awarded as described for any reason. Unused components of the Prize have no redeemable cash value. Sponsor will not replace any lost or stolen Prize or Prize components.

In the event the Winner engages in behavior during the Promotion and/or other applicable experience that (as determined by Sponsor in its sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsor or any of Sponsor’s services, products, trademarks, service marks, or logos, Sponsor reserves the right to terminate the Prize or other applicable experience early, in whole or in part, and send Winner home with no further obligation or compensation whatsoever to Winner. In the event Winner engages in behavior during prize fulfillment and/or other applicable experience that (as determined by Sponsor in its sole discretion) is illegal, tortious, or subjects Winner to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Winner as a result of such conduct.  SPONSOR SHALL HAVE ANY LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY ASPECT OF WINNER’S ACCEPTANCE OR USE OF THE PRIZE.

9.           PROMOTION CONDITIONS.  By participating in the Promotion, each Participant (whether they are declared a Winner or not) agrees (and agrees to affirm to such in writing) to: (a) abide by and be bound by these Official Rules and the decisions of the Sponsor on all matters relating to this Promotion which decisions are final and binding in all respects; (b) waive any right to claim ambiguity in the Promotion or these Official Rules; and, (c) warrant and represent that the use of the materials submitted in this Promotion will not violate the rights of any third parties. Entries must be in keeping with Sponsor’s positive image, as determined by Sponsor in its sole discretion.  Any materials containing obscenity, crude language, or descriptions of a violent or sexual nature (as defined solely by Sponsor) will not be accepted and the associated entry will be disqualified.  All federal, state or other tax liabilities (including income taxes) arising from any Prize contained in this Promotion will be solely the responsibility of the Winner. Receipt of any of the Prize components of this Promotion is conditioned upon compliance with any and all applicable federal, state and local laws, rules, and regulations. Noncompliance with any of the above will result in disqualification.

If for any reason the Promotion is not capable of running as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sweepstake Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion. In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Promotion and conduct a random drawing and select the Winners from among the eligible entries received up to the time of the impairment. In the event a Potential Winner or Official Winner is disqualified for any reason under the provisions of these Official Rules, such Potential Winner or Official Winner and all rights to any Prize will be forfeited in its entirety and a random drawing will be conducted in order to select an alternate Potential Winner in accordance with Section 5 above.

10.         LIMITATIONS OF LIABILITY/RELEASES.  By participating in the Promotion, each Participant (whether declared an Official Winner or not) agrees (and agrees to affirm to such in writing) to forever and irrevocably release, discharge, indemnify and hold harmless the Promotion Entities, and each of their respective officers, directors, licensors, employees, representatives, contractors, and agents (the “Released Parties”) from any liability, claims, demands, and causes of action from personal injury, loss or damage of any kind, including death, or property damage, theft, or loss suffered or resulting in whole or in part, directly or indirectly, from participation in this Promotion or the use, misuse or acceptance or possession of a Prize or any portion thereof, or participation in any Promotion-related activity, access to and use of each website associated with this Promotion and/or downloading from such site, or any claims based on publicity rights, defamation or invasion of privacy, or merchandise delivery. By participating in this Promotion, each Participant agrees that the Released Parties are not responsible for any claims, damages, lawsuits, causes of action, proceedings, or liability due to any injuries, theft, damages, expenses, costs, or losses to any person (including death) or property of any kind resulting from, arising from, or in connection with, in whole or in part, directly or indirectly, from: (a) any typographical or other error in the publication or printing of the Official Rules, and/or the offering or announcement of any Prizes; (b) lost, late, stolen, misdirected, damaged, incomplete or garbled Entries; (ci) any error in the collection or retention of entry information, including, but not limited to, incorrect or inaccurate transcription, receipt or transmission of any part of the entry due to human error; (d) any wrongful, negligent, or unauthorized act or omission on the part of any of the Promotion Entities, or any of their agents or employees; (e) the Promotion and any elements thereof, and the participation or inability to participate in any Promotion-related activity or participation in this Promotion, including, but not limited to, any damage to Participant’s (or any third person’s) computer system and/or its contents related to or resulting from any part of the Promotion; (f) any malfunction of the computer system, whether technical or due to human error in nature, lost/delayed data transmission, omissions, interruptions, deletion, defect, line failures, postponement, cancellation, or modification of the Promotion, including, but not limited to, interruption or inability to access the Promotion due to hardware or software compatibility problems of any telephone network (TSP), computer online systems (ISP), servers or providers, computer equipment, software, failure on account of technical problems or traffic congestion on the internet or at any website or any combination thereof, including injury or damage to Participants or to any other person’s telephone and/or computer system related to or resulting from participating; (g) acceptance, receipt, possession, attendance at, travel related to, defects in, misuse, inability to use, or use of any component of any Prize including, but not limited to, lost, stolen, damaged, delayed, or misdirected or destroyed Prize (or any element thereof); (h) any change in the Prize (or any components thereof) due to unavailability, any of which is due to reasons beyond Promotion Entities’ control, including, but not limited to, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not such action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure including but not limited to overloading of the Promotion Site due to excessive use, threatened or actual terrorist acts, air raid(s), blackout(s), act(s) of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic(s), pandemic(s), quarantine restrictions, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond any of the Promotion Entities’ sole and reasonable control, or as otherwise permitted in these Official Rules; (i) unauthorized human intervention in any part of the entry process or the Promotion; or (j) technical or human error which may occur in the administration of the Promotion or the processing of Promotion entries. No more than the stated number of prizes will be awarded.

WITHOUT LIMITING THE FOREGOING, THE PROMOTION, ALL PRIZES, AND ALL MATERIALS PROVIDED ON OR THROUGH THE PROMOTION SITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. 

Sponsor reserves the right in its sole discretion to disqualify any Participant that Sponsor finds to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserve the right to seek damages from any such person to the fullest extent permitted by law.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

12.         GOVERNING LAW/JURISDICTION.  The Promotion and these Official Rules are governed by and shall be construed in accordance with the substantive laws of the State of New York (as distinguished from the choice of law rules) and the United States of America applicable to contracts made and performed entirely in New York and where the relevant contacts are with such state.  Except where prohibited, as a condition of participating in this Promotion, each Participant agrees that any and all disputes, claims and causes of action arising out of or connected with this Promotion, the Prizes awarded, or the determination of the Winner shall be resolved individually, without resort to any form of class action. Participant further agrees that in any cause of action, the Promotion Entities’ entire liability will be limited to the cost of entering and participating in the Promotion, and in no event shall the Promotion Entities be liable for attorneys' fees and/or experts' fees and costs.
